Item 8.01. Other Events

As previously disclosed by Finward Bancorp (the “Bancorp”), on August 9, 2024, Peoples Bank, the wholly-owned Indiana-chartered commercial bank subsidiary of the Bancorp (the “Bank”), entered into an informal administrative agreement known as a memorandum of understanding (the “MOU”) with the Federal Deposit Insurance Corporation (“FDIC”) and the Indiana Department of Financial Institutions (“DFI”). By letter dated June 24, 2026, the FDIC and DFI notified the Bank that the FDIC and DFI have terminated the MOU effective immediately.
