Explanatory Note

This Current Report on Form 8-K/A (this “Amendment”) is being filed to correct a Current Report on Form 8-K filed by us on March 23, 2022, which was inadvertently submitted to EDGAR with a description tag of “Current report, item 9.01” rather than the correct tag of “Current report, items 2.02 and 9.01.” The sole purpose of this Amendment is to correct the EDGAR description of the report. No other changes have been made to the original report.

Item 2.02 - Results of Operations and Financial Condition.

On March 23, 2022, First Watch Restaurant Group, Inc. (the “Company”) issued a press release announcing its financial results for the fourth fiscal quarter and fiscal year ended December 26, 2021. A copy of the release is attached as Exhibit 99.1.
