Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 17, 2022, the Board of Directors (the “Board”) of FirstEnergy Corp. (the “Company”) amended and restated, effective as of May 17, 2022, the Company’s Second Amended and Restated Code of Regulations to add a new provision to specify that all directors and the full Board have a responsibility to actively oversee the Company’s lobbying, political contributions, and political activities, including, but not limited to review and approval of an annual political and lobbying action plan as prepared by management. The foregoing description of the Third Amended and Restated Code of Regulations does not purport to be complete and is qualified in its entirety by reference to the full text of the Third Amended and Restated Code of Regulations, a copy of which is attached as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated into this Item 5.03 by reference.
