Item 5.02(d). Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On June 18, 2025, Claudette J.V. Chan, a member of the Board of Directors and the Secretary of FONAR Corporation (the “Company”), notified the Company of her intention to retire from the Company's Board of Directors, and to retire as Secretary of the Company, effective June 19, 2025. Ms. Chan did not advise the Company of any disagreement with the Company on any matter relating to its operations, policies or practices.
