Other Events.

On March 15, 2023, Freshpet, Inc. (the “Company”) issued a press release relating to the pricing of its offering of 3.00% Convertible Senior Notes due 2028 (the “Notes”) to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 8.01.
