Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 21, 2021, Fredric N. Eshelman, Pharm.D., notified G1 Therapeutics, Inc. (the “Company”) of his decision to resign from the Board of Directors (the “Board”) of the Company effective immediately as of April 21, 2021. Dr. Eshelman was a member of the Board since 2015. Dr. Eshelman’s decision to resign was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
