Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 3, 2021, The Gap, Inc. (the “Company”) was notified of and accepted Elizabeth A. Smith’s resignation from the Board of Directors, effective June 18, 2021. The resignation of Ms. Smith as a director was not related to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
