On October 27, 2025, GBank Financial Holdings Inc. (the “Company”), the parent company of GBank, issued a press release announcing that boxing legend and global icon Mike Tyson has joined GBank as a promotional partner for the GBank Visa Signature® Card designed to deliver a secure, seamless, and rewarding payment option for gaming and sports enthusiasts. A copy of the Company’s press release covering such announcement and certain other matters is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
