On April 27, 2022, Leon Kempler, a member of the Board of Directors (the “Board”) of GBS Inc. (the “Company”), resigned as a member of the Board effective as of such date. Mr. Kempler was not a member of any of the Board’s committees. Mr. Kempler’s resignation was not a result of any disagreement with the Company on any matter relating to Company’s operations, policies or practices.
