Explanation of Responses:

1. Result of an automatic dividend reinvestment by brokerage firm.

2. Option Contract expires ten years from date of grant, and provides that shares will become exercisable 1/3 annually commencing on the first anniversary date of grant. All option contracts are granted at market price on date of grant.

3. Restricted units vest one-third annually commencing on 04/19/2025, the first anniversary date of grant. Upon vesting the units will be converted to stock options or shares of stock at the discretion of the Board.
