Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 12, 2022, Gladstone Investment Corporation (the “Company”) announced the election of Paula Novara to its Board of Directors (the “Board”), effective October 11, 2022. Ms. Novara will join the 2024 class of Directors for the Company. The Board is not expected to name Ms. Novara to any of its committees and she will not receive any compensation nor fees for services as a non-independent member of the Board. There are no transactions between Ms. Novara and the Company that would be reportable under Item 404(a) of Regulation S-K.
