Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On July 11, 2024, the Board of Directors of the Registrant appointed Joseph G. “Jay” Baldwin as director effective July 11, 2024, to fill the vacancy in the class of directors with terms of office expiring at the 2026 Annual Meeting of Stockholders and until his successor is duly elected and qualifies. There are no arrangements or understandings between Mr. Baldwin and any other person pursuant to which he has been selected as a director.
