Item 2.02. Results of Operations and Financial Condition.

On February 7, 2024, GoPro, Inc. (the “Company”) released management commentary pertaining to its press release to report its financial results for its fourth quarter and year ended December 31, 2023, a copy of which was attached as Exhibit 99.2 to the Current Report on Form 8-K furnished to the U.S. Securities and Exchange Commission on February 7, 2024 (the "Original Form 8-K"). The Company is furnishing this Amendment No. 1 on Form 8-K/A solely for the purpose of providing an updated copy of the management commentary correcting the number of sell-through units guided for first quarter of 2024. One reference in the management commentary to first quarter of 2024 sell-through guided to more than 400 thousand units has been updated to 550 thousand units, +/-50 thousand units. No other changes have been made to the Original Form 8-K or the management commentary.

The corrected management commentary is attached as Exhibit 99.2 and incorporated herein by reference.
