Explanation of Responses:

1. On November 28, 2023, 154,489 shares of the Company's common stock were transferred out of the 2021 GRAT #2 as an annuity payment to the reporting person's directly held account. Following this transfer, the trust was terminated and the remaining 59,073 shares were transferred to the remaindermen of the trust.

2. On November 28, 2023, 140,911 shares of the Company's common stock were transferred out of the 2022 GRAT as an annuity payment to the reporting person's directly held account.
