Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 9, 2026, Anantha Ramamurti notified GSR IV Acquisition Corp. (the “Company”) of his intention to resign from the board of directors of the Company (the “Board”), effective as of such date. Mr. Ramamurti will remain President and Chief Financial Officer of the Company. Mr. Ramamurti’s resignation is solely for the purpose of ensuring that the Company’s board of directors will remain majority independent as required by NASDAQ Listing Rule 5605(b).
