On March 17, 2025, Guess?, Inc. (the “Company”) issued a press release announcing the receipt of a non-binding proposal that the Board of Directors of the Company received from WHP Global. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
