Item 8.01 Other Events.

On September 4, 2026, Guidewire Software, Inc. (the “Company”) entered into a new multi-year agreement with a top 10 US-based insurance carrier addressing their personal lines book of business on Guidewire Cloud and PolicyCenter. This agreement results in this customer being in the Company’s top 10 as measured by fully ramped annual recurring revenue.

The Company has determined that this transaction does not require a revision to the quarterly or full-year financial guidance previously issued by the Company on September 3, 2026. As defined by the Company, fully ramped annual recurring revenue is used to quantify the annualized recurring value outlined in active customer contracts including all non-variable price increases outlined in the pricing schedule of an executed customer contract within the first five years.
