Explanation of Responses:

1. Represents performance-based restricted stock units ("RSUs") earned with respect to an award granted on March 13, 2023. The RSUs will vest in three equal installments on each of (i) the first anniversary of the grant date, (ii) the second anniversary of the grant date and (iii) the third anniversary of the grant date, contingent on the reporting person's continued service on such vesting date.
