1. Reported shares are represented by restricted stock units ("RSUs"), and each RSU is the economic equivalent of one share of Meta Materials Inc. common stock. These RSUs are fully vested as of the grant date. Reporting person elected to defer the settlement of the vested RSUs until he ceases providing services to the Issuer.
