Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Senior Vice President and Chief Financial Officer Peter Minan previously announced his plan to retire effective May 1. Mr. Minan has now agreed to extend his employment and remain Senior Vice President, Chief Financial Officer until his successor is named, and through a transition period in 2021.
