			Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 1, 2023, Hayward Holdings, Inc. (the “Company”) determined that Rick Roetken will no longer serve as SVP and President of North America, effective December 4, 2023. Mr. Roetken will continue as an employee of the Company through December 31, 2023, for an orderly transition of his duties. Pursuant to his employment agreement, upon his entering into a release of claims in favor of the Company and its subsidiaries, he will be entitled to receive the severance benefits described in the Company’s definitive proxy statement on Schedule 14A filed with the Securities and Exchange Commission on April 7, 2023, which description is incorporated herein by reference.
