ITEM 8.01 OTHER EVENTS

The Directors of Helmerich & Payne, Inc. (the “Company”), at a Board of Directors meeting held on September 7, 2022, declared a quarterly cash dividend of $0.25 per share on the Company's common stock, payable on December 1, 2022, to stockholders of record at the close of business November 15, 2022.
