Item 8.01. Other Events.

Heritage Global Inc. (the “Company”) previously disclosed on November 9, 2023 its need to address a request to amend the existing credit agreements with the Company’s largest borrower (the “Borrower”). On November 28, 2023, the Company, in conjunction with its senior lenders, reached an agreement with the Borrower to refinance the Borrower’s obligations owed to the Company’s specialty lending business unit. The refinancing includes, among other modifications, an extension of the maturity dates of the obligations.
