Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 19, 2025, Charlotte L. Jones resigned from the Board of Directors of Hilltop Holdings Inc. (the “Company”) effective immediately. Ms. Jones’s resignation was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
