Item 8.01 Other Events

On February 24, 2025, Moser Holdings, Inc., a portfolio company of Hilltop Opportunity Partners LLC, consummated the previously announced transaction pursuant to which all of the capital stock of Moser Acquisition, Inc. was sold to Atlas Energy Solutions Inc.
