Explanation of Responses:

1. Shares issuable upon settlement of restricted stock unit awards, subject to continued service with the Issuer through the vesting dates. The awards consist of (i) 100,000 shares that will vest in six equal semi-annual installments beginning on September 3, 2024, and (ii) 1,137,000 shares that will vest in three equal annual installments beginning on March 3, 2025.
