Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 18, 2025, Hologic, Inc. (the “Company”) and Stephen P. MacMillan, the Company’s Chairman, President and Chief Executive Officer, entered into an amendment to Mr. MacMillan’s amended and restated employment agreement dated September 18, 2015, as amended, solely to extend the term of such agreement until such time as the agreement is otherwise terminated by the Company or Mr. MacMillan in accordance with its terms.
