Item 8.01. Other Events.

On August 31, 2022, the Board of Directors of II-VI Incorporated declared a quarterly dividend of $3.00 per share on its 6.00% Series A Mandatory Convertible Preferred Stock (Nasdaq: IIVIP). The quarterly dividend will be payable in cash on October 1, 2022, to all shareholders of record as of the close of business on September 15, 2022.
