Item 5.02. Departure of Directors or Certain Officers: Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 12, 2024, Rachel Lam notified Innovid Corp. (the “Company”) of her resignation from the Board of Directors (the “Board”) and the Audit and Nominating and Corporate Governance Committees of the Board, effective from close of business on March 12, 2024. Ms. Lam’s decision to depart from the Board does not relate to any disagreement on matters related to the Company’s operations, policies or practices or on any other matter.
