Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officer.

On September 14, 2026, Stephen Bye provided Inseego Corp. (“Inseego” or the “Company”) with written notice of his resignation, effective as of September 30, 2026, from the Board of Directors of the Company, in light of his forthcoming appointment as Chief Executive Officer of WW International, Inc. (Nasdaq: WW). Mr. Bye’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
