Item 2.02 Results of Operations and Financial Condition.

On November 1, 2022, Instructure Holdings, Inc. (the "Company") issued a press release announcing its financial results for the quarter ended September 30, 2022. A copy of this press release is attached hereto as Exhibit 99.1.
