Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 18, 2021, the Board of Directors (the “Board”) of J2 Global, Inc. (the “Company”) appointed Trace Harris as a director of the Company. Ms. Harris currently serves on the boards of Altair Engineering, a global software company, and Bungie, the video game developer of the Halo and Destiny franchises.

Ms. Harris will be compensated in accordance with the Company’s compensation policies for Board members as described in the Company’s Proxy Statemen t filed with the Securities and Exchange Commission on March 26, 2021, under the section titled “Director Compensation,” which is incorporated herein by reference.

There are no arrangements or understandings between Ms. Harris and any other persons pursuant to which Ms. Harris was named a director of the Company. Ms. Harris has been appointed to the Audit Committee of the Board.

There are no transactions or relationships between the Company and Ms. Harris that are reportable under Item 404(a) of Regulation S-K.
