1. These shares are held by McLeod Management Co. LLC ("McLeod"). The Reporting Person serves as a managing member of McLeod and as such, has sole voting and dispositive power with respect to the shares held by McLeod and may be deemed to beneficially own the shares held by McLeod. The Reporting Person disclaims beneficial ownership of such shares and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of such shares for purposes of Section 16 or for any other purpose, except to the extent of his pecuniary interest therein.
