Explanation of Responses:

1. Consists of a grant of 9,000 shares, of which 3,000 vest immediately, 3,000 will vest on January 2, 2025 and 3,000 will vest on January 2, 2026. The Reporting Person serves as a director of Manitex International Inc. (the "Issuer") as a nominee of Tadano Ltd ("Tadano") pursuant to Tadano's right to appoint a director under the Securities Purchase Agreement dated May 24, 2018.

2. These shares were contemporaneously assigned to Tadano under the terms of the Reporting Person's arrangement with Tadano without consideration. As a result, the Reporting Person disclaims any beneficial ownership or pecuniary interest in these shares and has indicated the contemporaneous assignment as a disposition of the shares.

3. In the Reporting Person's Form 4 filing of March 9, 2023, a similar transaction was reported. That filing should have reflected numerically in Column 5 the assignment to Tadano of the 9,000 shares granted, thus reducing the holding of the Reporting Person to zero. The assignment (but not the numerical reduction) was referenced in the original filing and therefore the Reporting Person is making this disclosure as an immaterial update rather than filing a formal amendment. The result of the disclosure is that the Reporting Person is indicating no ownership of shares immediately prior to this filing.
