Regulation FD Disclosure.

On September 25, 2026, KLX Energy Services Holdings, Inc. (the “Company”) issued a press release providing a business update and announcing updated financial information for its third quarter ended September 30, 2026. The Company’s management plans to announce and discuss the Company’s complete third quarter 2026 financial results in November 2026. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 7.01.

On September 25, 2026, the Company also issued a press release announcing the preliminary results of its previously announced subscription rights offering, which expired in accordance with its terms at 5:00 p.m., New York City time, on September 23, 2026. The press release is attached hereto as Exhibit 99.2 and is hereby incorporated by reference into this Item 8.01.
