Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 6, 2024, Timothy Londergan, a member of the Board of Directors of Know Labs, Inc. (the “Company”), tendered his resign from the Company's Board of Directors, effective September 6, 2024. Mr. Londergan’s resignation was not the result of any dispute or disagreement with the Company or the Company’s Board of Directors on any matter relating to the operations, policies or practices of the Company.

The Board of Directors extends its gratitude to Mr. Londergan for his dedicated service and contributions during his tenure on the Board.

The Board of Directors is actively engaged in the process of identifying a suitable candidate to fill the vacancy created by Mr. Londergan’s resignation. Concurrently upon acceptance of Mr. Londergan’s resignation, the Board appointed director Ichiro Takesako to fill the vacancy on the Company’s Audit Committee.
