Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 8, 2023, the Remuneration and Nomination Committee (the “Remuneration Committee”) of the Board of Directors of Krispy Kreme, Inc. (the “Company”) approved forms of equity award agreements under its 2021 Omnibus Incentive Plan.

The form of Restricted Stock Unit Agreement allows for grants to the Company’s directors and named executive officers of restricted stock units (“RSUs”) that vest as follows: (i) sixty percent (60%) of the RSUs vest on the third (3rd) anniversary of the vesting commencement date, (ii) twenty percent (20%) of the RSUs vest on the fourth (4th) anniversary of the vesting commencement date; and (iii) twenty percent (20%) of the RSUs vest on the fifth (5th) anniversary of the vesting commencement date, subject to the participant remaining in continuous service with the Company and its affiliates through such vesting date. The form of Performance-Based Restricted Stock Unit Agreement allows for grants to the Company’s named executive officers of performance-based restricted stock units that vest on the date or dates established by the Remuneration Committee, subject to the achievement of the applicable performance goals established by the Remuneration Committee and the participant remaining in continuous service with the Company and its affiliates through such vesting date. The form of Option Agreement allows for grants to the Company’s named executive officers of non-qualified stock options that vest in full on the third anniversary of the agreement’s effective date, subject to the participant remaining in continuous service with the Company and its affiliates through such vesting date.
