3. The price reported in column 4 is a weighted average price. The shares were acquired in multiple transactions at prices ranging from $3.66 to $3.96, inclusive.

4. This Common Stock is directly held by The AI Catalyst Fund, LP (the "AICF"). The AI Catalyst Fund GP, LLC ("AICF GP") is the general partner of AICF. Mr. Gonzales is the President and sole managing member of AICF GP. As such, each of AICF GP and Mr. Gonzales may be deemed to have beneficial ownership of the Common Stock directly held by AICF. Each such entity or person disclaims any beneficial ownership of the reported shares other than to the extent of any pecuniary interest they may have therein, directly or indirectly.
