Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 29, 2023, the Compensation Committee of our Board of Directors approved an employment agreement amendment with Douglas R. Lebda, our Chairman and Chief Executive Officer, extending the term of the Employment Agreement with Mr. Lebda dated as of November 30, 2020 (the “Employment Agreement”) to continue until December 31, 2024. No other changes were made to the Employment Agreement or to Mr. Lebda’s compensation.
