Item 8.01.Other Events.

On August 11, 2022, The LGL Group, Inc. (the "Company") issued a press release (the "Press Release") announcing that LGL’s Board of Directors has decided to reschedule the previously announced spin-off of M-Tron Industries, Inc. (“MtronPTI”). The Board has established September 30, 2022 as the new record date and October 7, 2022 as the anticipated distribution date.

This Form 8-K shall not constitute an offer to sell or the solicitation of an offer to buy, nor shall there be any sale of these securities in any jurisdiction in which such offer, solicitation or sale would be unlawful prior to the registration or qualification under the securities laws of any such jurisdiction.
