ITEM 7.01 Regulation FD Disclosure

On October 24, 2022, Linde plc issued a press release announcing that its Board of Directors approved a proposal for shareholders to vote on an intercompany reorganization that would result in the delisting of Linde plc shares from the Frankfurt Stock Exchange. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Item 7.01 by reference.
