Item 8.01. Other Events.

On November 18, 2025, the Board of Directors of Live Oak Bancshares, Inc. (the “Company”) declared a cash dividend of $0.03 per share of Voting Common Stock and a cash dividend of $0.52344 per depositary share of its 8.375% Fixed Rate Series A Non-Cumulative Perpetual Preferred Stock, each such dividend payable on December 15, 2025 to shareholders of record as of December 2, 2025.
