Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 6, 2024, the Board of Directors of Live Ventures Incorporated (the “Company”) approved certain changes to the employment agreement of Thomas Sedlak, Chief Executive Officer of Precision Industries, Inc., a subsidiary of the Company, to reflect additional responsibilities assumed by Mr. Sedlak with the growth of the Company’s Steel Manufacturing Segment. Among the changes are: (i) an increase in his annual base salary, effective October 1, 2023, to $475,000; (ii) an extension of the term of his employment agreement through September 30, 2027; and (iii) a change in the method of calculating his annual bonus opportunity of up to 100% of annual base salary, such that 75% is derived from achievement of EBITDA target(s) and 25% is determined by the Company’s Compensation Committee.

A copy of Mr. Sedlak’s Third Amendment to Employment Agreement is attached as an exhibit hereto and is incorporated herein by reference.
