Other Events.

Pursuant to the previously disclosed Transaction Agreement, dated as of May 10, 2023, by and among Livent Corporation (the “Company”), Allkem Limited (“Allkem”), and the other parties thereto, providing for a combination of Livent and Allkem in a merger of equals transaction, Livent and Allkem have agreed that the name of the combined company will be Arcadium Lithium plc (“New TopCo”).
