Item 2.01. Completion of Acquisition or Disposition of Assets

On October 6, 2021, LMP Automotive Holdings, Inc., a Delaware corporation (the “Company”) closed on the acquisition (the “Acquisition”) of an 85% interest in the assets related to the ownership and operation of the Chrysler Jeep of White Plains dealership located at 70 Westchester Avenue, White Plains, New York, as contemplated by that certain Dealership Asset Purchase Agreement, dated as of March 31, 2021 (the “DAPA”), by and among the Company and Jonathan Grant. The consideration paid by the Company for the Acquisition was 55,134 shares of the Company’s common stock and approximately $6.3 million in cash. The DAPA was filed as Exhibit 10.1 to the Company’s Current Report on Form 8-K filed on April 1, 2021, and is incorporated herein by reference.

A copy of the press release announcing the Acquisition is furnished herewith as Exhibit 99.1 to this Current Report on Form 8-K.
