Item 8.01 Other Events

On September 13, 2021, Luxfer Holdings PLC (the “Company”) completed the divesture of its Superform UK operations in Worcester, England. The divesture was effectuated pursuant to an Agreement for the Sale and Purchase of the Business of Superform UK (“Sale Agreement”), dated September 10, 2021, between a subsidiary of the Company, Neos Superform Limited and Neos International Limited. The Sale Agreement contains customary representations, warranties and covenants. The divesture is consistent with the Company’s February 23, 2021 announcement that it intends to discontinue the majority of its Aluminum operations.
