Item 2.05 Costs Associated with Exit or Disposal Activities

On April 27, 2023, Lyft, Inc. (the “Company”) announced a restructuring plan as part of its efforts to reduce operating costs. The plan involves the termination of approximately 1,072 employees, representing 26% of the Company’s employees. The Company has also decided to scale back hiring and has eliminated over 250 open positions. In connection with the plan, the Company estimates that it will incur a cost of approximately $41 million to $47 million related to severance and employee benefits in the second quarter of 2023, all of which will be future cash expenditures. In the same quarter, the Company also expects to incur an additional cost related to stock-based compensation and the corresponding payroll tax expense related to employees who were impacted by this restructuring. However, the Company cannot reasonably estimate these costs at this time, as they depend in part on the Company’s future stock price. The Company will file an amendment to this 8-K in the second quarter of 2023 to disclose these additional costs. Restructuring costs will be excluded from Adjusted EBITDA, which is consistent with the Company's past presentation.

The Company intends to use the operating cost savings associated with this action to support continued service-level improvements benefitting riders and drivers. The Company will provide more details on its first quarter of 2023 earnings call on May 4, 2023.
