ITEM 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 27, 2022, Ms. Diana Laing provided notice of her retirement from the Board of Directors (the “Board”) of The Macerich Company (the “Company”) effective December 31, 2022. Ms. Laing’s retirement from the Board did not involve any disagreements with the Company on any matter relating to the Company’s operations, policies or practices. Thomas E. O’Hern, Chief Executive Officer, stated “Diana served as a distinguished member of our Board since her appointment in 2003 and we sincerely thank Diana for her many contributions and valuable service.”

The Board has decided to reduce the size of its Board by one member upon the retirement of Ms. Laing.
