Item 1.01. Entry into a Material Definitive Agreement.
On March 2, 2026, MAIA Biotechnology, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Konik Capital Partners, LLC, a division of T.R. Winston and Company, LLC (the “Underwriter”), pursuant to which the Company agreed to issue and sell in an underwritten public offering (the “Offering”) an aggregate of 20,000,000 shares (the “Shares”) of the Company’s common stock, par value $0.0001 per share (“Common Stock”). The public offering price for each share of Common Stock is $1.50, and the Underwriter has agreed to purchase the shares of Common Stock pursuant to the Underwriting Agreement at a price for each share of Common Stock of $1.425.
Pursuant to the terms of the Underwriting Agreement, the Company has granted the Underwriter a 30-day option to purchase up to an additional 3,000,000 shares of Common Stock (the “Option Shares” and together with the Shares, the “Securities”) solely to cover over-allotments, if any, at the original offering price to the public for the Common Stock less the underwriting discounts and commissions.
The Offering is being made pursuant to the Company’s registration statement on Form S-3 (File No. 333-273984), previously filed with the Securities and Exchange Commission (the “SEC”) on August 15, 2023, and declared effective on August 23, 2023, a base prospectus dated August 23, 2023, and a prospectus supplement dated March 2, 2026 (the “Prospectus Supplement”). This Current Report on Form 8-K does not constitute an offer to sell or a solicitation of an offer to buy any of the Shares or Option Shares.
Pursuant to the Underwriting Agreement, the Company and its officers and directors agreed to a 60-day “lock-up” period with respect to sales of specified securities, subject to certain exceptions, with each of the officers and directors signing separate lock-up agreements.
The legal opinion, including the related consent, of Sheppard Mullin Richter & Hampton, LLP relating to the issuance and sale of the Shares and the Option Shares to be issued in the Offering is filed as Exhibit 5.1 hereto.
Gross proceeds from the Offering were approximately $30.0 million, before deducting underwriting discounts and commissions and estimated Offering expenses payable by the Company. The Company intends to use the net proceeds from the Offering to conduct clinical trials and for working capital and general corporate purposes.
The purchase and sale of the Shares and the closing of the Offering, occurred on March 4, 2026.
