Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Ms. Kimberly O. Warnica was promoted to executive vice president, general counsel and secretary, effective March 1, 2022. Ms. Warnica, a named executive officer of Marathon Oil Corporation, is currently the Company’s senior vice president, general counsel and secretary.

Due to the change to Ms. Warnica’s appointment, her base salary will be increased to $450,000, effective March 1, 2022. In addition, Ms. Warnica’s annual cash bonus target will increase to 90% of her base salary, effective for the 2022 calendar year, and her 2022 long-term incentive award target value will be increased to $1,200,000.
